Basic Terms

2. You are responsible for any activity that occurs under your screen name.
3. You are responsible for keeping your password secure.
4. You must not abuse, harass, threaten, impersonate or intimidate other Scriptovia.com users.
5. You may not use the Scriptovia.com service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
6. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, links (“Content”) that you submit, post, and display on the Scriptovia.com service.
7. You must not modify, adapt or hack Scriptovia.com or modify another website so as to falsely imply that it is associated with Scriptovia.com.
8. You must not create or submit unwanted email to any Scriptovia.com members (“Spam”).

License and General Conditions

1. Upon acceptance of your registration and, by implication, your acceptance of the terms and conditions herein (the “Terms and Conditions”), you will be granted a revocable, non-exclusive license to view, post, display your content documents (“Documents”) on a variety of topics on our Web Site (the “Site”) subject to the terms and conditions outlined herein. And to enable us to use the content information you post or display on our web site or supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in your documents or informational postings, in any media now known or not currently known, with respect to documents or informational postings. Tolemi Technologies LLC will only use your content postings in accordance with our Privacy Policy.


2. You acknowledge and agree that the web site user license granted under these Terms and Conditions does not permit you to utilize any Document for any commercial or for-profit purpose. The documents contained within our web site are for research purposes only! You may not turn in any originally posted documents or papers as your own work! You must acknowledge the author of the document or cite our website as your source! Turning in a document from our web site as your own is plagiarism and is illegal!


3. You acknowledge and agree that your account with us is for a single user and that you may NOT give your user information to anyone else. It is your responsibility to keep your password private from other individuals. Any misuse of an account may lead to immediate termination of your account without refund.


4. You acknowledge that any Documents you view from the Site are being delivered to you AS IS, with no warranties. Tolemi Technologies LLC makes no representation or warranty to you regarding the accuracy of any information contained in any Document, the completeness of any documents, or the copyrights in any Document.


5. You agree that, in the event of any breach of our obligations under these Terms emanating from your Documents posted on our web site, you agree to indemnify and hold us, our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demands, including reasonable attorneys' fee, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of the rights of a thirty party.


6. You represent and warrant to us that any document you submit to the Site (“us” or “we”) does not infringe the rights of any third parties. You agree to hold us harmless from any damages, costs, expenses, fees, penalties or assessments that we suffer as a result of your breach of this paragraph.


7. Upon your submission of any Document, all rights in any such Document become our sole and exclusive property, subject to the rights of licensees under these Terms.


8. We reserve the right at all times to reformat, edit, refuse to post, or to remove any information or materials posted on the Site.


9. We may make improvements or changes in the information, services, products, and other materials on the Site, or terminate the Site, at any time without notice. We may modify this agreement at any time, and such modifications shall be effective immediately upon posting of the modified agreement. Accordingly, you agree to review this Agreement periodically, and your continued access or use of this site shall be deemed your acceptance of the modified Agreement.


10. We are not responsible for unavailability of the Site due to factors beyond our control, including (but not limited to) acts of God, technical or system problems, acts of war, or acts of terrorism. In addition, we are not responsible for your inability to access the Site website due to problems with respect to your ISP or any equipment that you may chose to utilize in accessing the Site.


11. You acknowledge and consent that you and Tolemi Technologies LLC are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.


12. We reserve the right to modify or terminate the Scriptovia.com service for any reason, without notice at any time.


13. We reserve the right to alter these Terms and Conditions at any time. If the alterations constitute a material change to the Terms and Conditions of Use, we will notify you via a Scriptovia.com internal messaging service or via internet mail according to the preference expressed on your account. What constitutes a “material change” will be determined at our sole discretion, in good faith and using common sense and reasonable judgment.


14. We reserve the right to refuse services to anyone for any reason at any time.


15. We may, but have no obligations to, remove content and accounts containing content or topics that we determine in our sole discretion to be offensive, unlawful, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any persons or party's intellectual property right or these Terms and Conditions of use.
    
    Violation of any of these Terms and Conditions will result in the termination of your Scriptovia.com account. While Scriptovia.com prohibits such conduct and content on its site, you understand and agree that Tolemi Technologies LLC cannot be responsible for the content posted on its web site and you nonetheless may be exposed to such materials and that you use the Scriptovia.com service at your own risk.

Copyright – You Post It You Own It

• Tolemi Technologies LLC claims no intellectual property rights over the material you provide to the Scriptovia.com service. Your profile and materials uploaded remain yours. You can remove your profile at any time by deleting your account. This will also remove any document contents you may have stored in the system. However, by uploading your documents, you agree to allow other Scriptovia.com users to view, copy or share your documents contents, and you therefore, agree to allow us to post, display and store them.


• Tolemi Technologies LLC undertakes to obey all relevant copyright laws, however misguided they may be perceived. We will review all claims of copyright infringement received and remove content deemed to have been posted or distributed in violation of any such laws. To make a claim, please provide us with the following:
  • A physical or electronic signature of the copyright owner or the person authorized to act on its behalf;
  • A description of the copyrighted work claimed to have been infringed;
  • A description of the infringing material and information reasonably sufficient to permit us to locate the material;
  • Your contact information, including your address, telephone number, and email;
  • A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

A statement that the information in the notification is accurate, and, under the pains and penalties of perjury, that you are authorized to act on behalf of the copyright owner.
